1. Who we are, and what this covers

Zymiq is operated by Zymiq Softwares Private Limited, a company registered in India with its registered office at 76 Shiv Vatika, Lasudia Mori, Vijay Nagar, Indore, Madhya Pradesh 452010, India ("Zymiq", "we", "us"). These terms govern your use of the Zymiq client portal at zymiq.io, including the public laboratory directory, enquiries, test requests, and access to reports issued to you.

They also govern your use of the laboratory workspace where you claim, or are granted access to, a laboratory listing. In that capacity section 5 applies to you in addition to the remainder of these terms.

By creating an account, or by sending an enquiry or a request without one, you agree to these terms. If you are agreeing on behalf of a business, you confirm you are authorised to bind it, and "you" means that business.

2. What Zymiq is, and what it is not

Zymiq is a directory and a channel. We help you find testing laboratories, send them requests, follow the progress of work they accept, and receive the reports they issue to you.

Zymiq is not a testing laboratory. We do not carry out tests, do not hold laboratory accreditation, do not calibrate equipment, do not interpret results, and do not issue test reports. Everything of that kind is done by the laboratory you choose, under its own accreditation and its own quality system.

It follows that the agreement to carry out testing is between you and that laboratory, not between you and Zymiq. Price, turnaround, scope, sample handling, retention, confidentiality of your results, invoicing and any warranty are matters of that agreement. We are not a party to it and cannot perform it for either side.

3. Your account

An account is for business use and belongs to one named person. You are responsible for what happens under it, for keeping your password to yourself, and for telling us promptly if you think someone else has it.

The details you give us — your name, your company, your email and phone — must be accurate and kept up to date. Laboratories rely on them to identify who is sending them samples, and an accredited laboratory has record-keeping obligations that depend on knowing who its customer is.

We verify your email address before you can send a request. We may suspend or close an account that is used in breach of these terms, that appears to be impersonating someone, or where we are required to.

4. The laboratory directory

The directory lists testing laboratories together with accreditation details, scope, location and contact information. Some listings belong to laboratories that use Zymiq; others are compiled from publicly available accreditation records and from information laboratories have given us.

We take reasonable care over what the directory says, but we do not warrant that a listing is complete, current or free from error — accreditation scopes change, certificates lapse, and a laboratory may stop offering a method. Before you rely on a laboratory being accredited for a particular test, check its current certificate with the accreditation body that issued it. The certificate, not our listing, is the authority.

A listing is not a recommendation, an endorsement, or a statement that a laboratory is suitable for your purpose.

5. Laboratory accounts

This section applies where you claim, or are granted access to, a laboratory listing and use the laboratory workspace (a "Laboratory User"). Where this section conflicts with another provision of these terms, this section prevails as regards that use.

The laboratory is solely responsible for its own operations and for the organisational structure it creates within the portal. Zymiq supplies the means by which laboratories, users, roles and permissions may be defined; it does not determine them. The creation, assignment, periodic review and withdrawal of roles and permissions, and all consequences of the access those roles confer, are the laboratory's responsibility alone. Without limitation, Zymiq is not responsible for the appointment of personnel, for the competence or authorisation of any person to perform, review or approve work, for the adequacy of any separation of duties, or for the laboratory's compliance with any accreditation standard, management system or regulatory requirement to which it is subject.

The laboratory is solely responsible for the accuracy, completeness, currency and lawfulness of the information it enters into or uploads to the portal. This includes its listing and contact details, its accreditation and scope information, its client and sample records, its test results, and any document or report it issues through the portal. Zymiq's role in respect of that information is limited to receiving, storing, organising, transmitting and displaying it as submitted. Zymiq does not verify, validate, audit, correct or independently source it, and gives no warranty as to it.

The laboratory shall ensure that information it publishes through the portal is not false or misleading, and shall correct without undue delay any such information that it knows, or ought reasonably to know, is inaccurate. Zymiq may suspend or remove a listing, a document or an account where, in its reasonable opinion, the information concerned is inaccurate, misleading or unlawful; where it does so other than for reasons of urgency or law, it will give the laboratory notice and a reasonable opportunity to correct the information.

6. Enquiries and test requests

A request you send through Zymiq is a proposal. It becomes work only when the laboratory accepts it, and the laboratory may decline it, ask you for more information, or propose different terms. Nothing in the portal obliges a laboratory to accept your request.

You are responsible for what you tell the laboratory: the material, the standard or method you want applied, the condition of the samples, and anything about them that affects safety or handling.

Messages you exchange with a laboratory through a request are shared with that laboratory and retained as part of the record of the work.

7. Samples

You send samples directly to the laboratory. They remain yours. Delivery, packaging, customs and the cost of getting them there are your responsibility unless the laboratory has agreed otherwise with you.

You must tell the laboratory, before you send anything, if a sample is hazardous, infectious, radioactive, under pressure, or otherwise dangerous to handle, and you must comply with the law that applies to transporting it.

What happens to a sample after testing — how long it is retained and how it is disposed of — is set by the laboratory's policy and the standard being applied. Zymiq never holds your samples.

8. Results and reports

Test reports are issued by the laboratory, in its name, under its accreditation. Zymiq stores them and makes them available to you; we do not produce them and do not alter them.

A report relates only to the samples tested and to the scope stated on it. It is not a statement about other material, about a batch it was drawn from, or about anything the report does not say. Do not reproduce a report other than in full without the laboratory's written consent — this is a requirement of the laboratory's accreditation as well as of these terms.

Questions about a result, a method, a measurement uncertainty, or an opinion expressed in a report go to the laboratory that issued it. We cannot answer them and cannot change a report.

9. Acceptable use

You agree not to:

• send requests you do not intend to proceed with, or use enquiries to advertise to laboratories;
• scrape, bulk-download or republish the directory, or use it to build a competing listing;
• misrepresent who you are or who you are acting for;
• upload anything unlawful, or anything you do not have the right to share;
• attempt to reach another customer's requests, results or reports, or to probe the service for weaknesses without our written permission;
• interfere with the service or place an unreasonable load on it.

10. Intellectual property

The portal, its design and its content are ours or our licensors'. You get a limited, revocable, non-transferable right to use it for your own business purposes, and nothing more.

What you put in — your project details, sample descriptions and messages — stays yours. You give us permission to store it, to show it to the laboratory you addressed it to, and to process it as described in the privacy policy, so that we can run the service.

11. Fees

Zymiq makes no charge for the use of the portal at zymiq.io. This applies equally to customers seeking testing services and to laboratories: no fee is payable to Zymiq for searching the directory, for sending an enquiry or a test request, for receiving a report through the portal, or for claiming, maintaining or answering enquiries about a listing.

Testing is invoiced separately by the laboratory. Any charge for the work itself, and the terms on which it falls due, are matters of the agreement between you and that laboratory described in section 2. Zymiq is not a party to that agreement, does not collect payment on behalf of either party, and takes no commission on it.

Zymiq LIMS is a separate product, licensed separately. A laboratory wishing to use the Zymiq laboratory information management system at https://zymiq.app requires a monthly or annual subscription on the terms applicable to that product, which are not these terms. Nothing here grants any right to use it; equally, no subscription to it is required in order to use the portal at zymiq.io, to appear in the directory, or to receive and answer enquiries through it.

12. Availability and changes

We try to keep the portal available, but we do not promise it will be uninterrupted or error-free, and we may take it down for maintenance. We may change, add or remove features.

You may stop using the portal and ask us to close your account at any time. Closing an account does not end any agreement you have with a laboratory, and does not delete records a laboratory is required to keep.

13. Disclaimers and limits on our liability

The portal is provided as it is. To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We are not liable for the testing: not for a laboratory's results, its methods, its delays, its handling or loss of your samples, its accreditation status, or any decision you take on the strength of a report. Those are matters between you and the laboratory.

To the extent the law allows, we are not liable for indirect or consequential loss, or for lost profit, contracts, goodwill or data. The portal is provided to you free of charge, and to the fullest extent the law allows our total liability arising out of or in connection with it is nil.

Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

14. Indemnity

You will cover us against claims, losses and reasonable costs arising from your breach of these terms, from samples you sent, or from your use of a report — except to the extent they are caused by us.

15. Governing law

These terms are governed by the law of India, and the courts at Indore, Madhya Pradesh have exclusive jurisdiction over any dispute. Where you deal with us as a consumer, nothing in this clause removes any right you have under the Consumer Protection Act, 2019 or any other law that cannot be excluded by agreement, including any right to bring proceedings before a consumer forum having jurisdiction where you reside.

16. Changes to these terms

We may update these terms. The version and the date at the top of this page tell you which text is current. If a change materially affects your rights we will give you reasonable notice — by email or in the portal — before it takes effect, and continuing to use the portal after that means you accept the new version.
